Texas: file the certificate, track annual reports
A Certificate of Formation carries no state filing fee. Formation cost is your time plus any filing service or agent fee.
Texas has no state personal income tax. The franchise tax is a margin tax on the entity, and the state publishes a no-tax-due threshold each cycle. Below it, an LLC owes no franchise tax but must file the applicable Public Information Report or Ownership Information Report.
Above the threshold, the tax applies to the lowest of several margin calculations.
